Mr. Sukhman has been practicing law for over 20 years.  His practice, along with William
Frenkel’s, is focused on representing investment managers of hedge, private equity and hybrid
funds.  Mr. Sukhman advises clients on domestic, foreign and cross-border investment
transactions involving equity, senior and subordinated debt, distressed assets, real property,
aircraft, and a variety of derivative instruments.  His practice also involves corporate
transactions, including formation and maintenance of SPV’s and other business entities,
mergers & acquisitions, bankruptcy related issues, and general corporate counseling.

In representing investment funds, Mr. Sukhman often act
s as an outside GC or an extension of
the in-house legal team in providing legal support for their day-to-day
trading and investment
activities. These include everything from obtaining information (NDAs, non-reliance letters,
subscription agreements) to retaining experts, agents and advisors (retainers, engagement
letters, fee agreements) to pursuing various transactions involving equity, senior and
subordinated debt, distressed assets, real property, and derivative instruments. In addition, Mr.
Sukhman represents institutional and individual investors in drafting, reviewing, and
negotiating various investment related documents (LLC agreements, subscription agreements,
side letters, notes, pledges, security agreements, etc.).

A significant part of Mr. Sukhman's practice is representing start-ups and emerging companies
(both for-profit and non-profit) in helping them organize (incorporations, registrations, LLC
operating agreements, shareholder agreements, etc.) and raise capital (
private placements,
s
eed financing, angel financing, Series A, venture capital, etc.).

By way of background,
Michael Sukhman began his career as primarily a commercial
litigation and bankruptcy attorney with two of the nation’s leading firms, Ross & Hardies (now
McGuire Woods LLP) and Curtis, Mallet-Prevost, Colt & Mosle LLP.  There,
he gained a
wealth of experience in both litigation and bankruptcy matters (having represented debtors-in-
possession, trustees, and creditors).  Later, as the principal of
his own firm, I re-focused his
practice to concentrate primarily on corporate and transactional matters.  Between 2002 and
2006, in addition to
his private practice, he served as the general counsel and principal of a
New York-based middle-market M&A advisory boutique.
